Who we are
Prosperon Global Trade and Procurement Ltd ("Prosperon", "we", "us") operates as a trading and procurement principal. When we open a managed trade, we act on our own account in relation to suppliers we source, verify or coordinate on your behalf. We are not a bank, remittance provider, money transmitter, wallet operator, or standalone invoice-payment service.
Scope of these terms
These terms apply to your use of the Prosperon Global website, our client portal, and any managed trade we open with you. Trade-specific commercial terms — pricing, timelines, Incoterms, quality standards, freight and settlement arrangements — are agreed in the written trade quotation for each individual trade.
Managed trades and supplier settlement
Supplier settlement is available only inside a Prosperon-managed trade. We do not settle standalone invoices, pay unrelated third parties, or transfer funds for you as a free-standing service. Every settlement is bound to a verified Trade record and executed through approved banking or payment partners.
Where a bank-account change is requested after a supplier has been verified, we will pause the trade and independently re-verify the details before any onward settlement.
Customer obligations
You are responsible for providing accurate business, product and shipment information; for approving trade quotations before we act on them; for meeting the funding requirements set out in the quotation; and for complying with the laws of your country and the country of origin and destination.
Prohibited use
You must not use Prosperon in support of goods or activities listed on our Prohibited Goods policy, to evade sanctions, to launder funds, to defraud a third party, or to circumvent the trade-bound settlement rule described above.
Fees and payments
Prosperon's service fee and any pass-through costs (freight, duties, verification, banking) are set out in the trade quotation you approve. We do not charge to receive an enquiry, provide a quotation or open a client account.
Confidentiality
Both parties will treat commercial information exchanged in the course of a trade as confidential, save as reasonably required to execute the trade with suppliers, freight forwarders, banks and other service providers.
Limitation of liability
To the extent permitted by law, Prosperon's aggregate liability arising from any single managed trade is limited to the value of the fees we charged for that trade. We are not liable for indirect or consequential loss.
Termination
Either party may end our engagement on any trade before Prosperon has committed to a supplier or forwarder. Once we have committed on your behalf, obligations to the supplier and forwarder must be honoured on the terms of the approved quotation.
Governing law
These terms are subject to legal review before production launch. The applicable law and dispute-resolution mechanism will be confirmed in that review.
